ATTY. JED T. RUALO
SENIOR PARTNER
A graduate of University of the Philippines with a degree in B.S. Philosophy and earned his law degree from Ateneo de Manila University of Law. Atty. Rualo started his legal career as a tax associate in one of Manila’s leading law firms, where he specialized in both advocacy and consultation in the fields of individual and corporate tax including successfully securing tax clearances and rulings from the Bureau of Internal Revenue as well as representing clients before the Court of Tax Appeals. Thereafter, he engaged in solo tax practice before deciding to be one the founding partners of the firm.
His strong affinity to this field of practice is attributable, in large measure, to the fact that his father, the late Hon. Beethoven Rualo, enjoyed a distinguished and long career as a public official in the Bureau of Internal Revenue which culminated in him serving as its Commissioner from the year 1998 to year 2000.
Atty. Rualo brings to the firm years of experience in practice ranging from advising clients to the most tax efficient manner of structuring personal and corporate transactions which include the transfer of personal and real properties, the availment of tax incentives and reliefs and to the practical applicability of foreign tax laws and regulations as well as to the areas of estate planning and settlement of estates as his primary fields of specialization.

ATTY. ADOLFO MARTIN R. GONZALEZ
SENIOR PARTNER
Atty. Gonzalez brings to the firm 15 years of legal experience, 5 years of which were spent at the Securities and Exchange Commission (SEC) of the Republic of the Philippines that culminated in a position of Securities Review Counsel to the Office of the General Counsel.
He served as the SEC’s representative to the Technical Working Groups (TWG) of the various congressional committees in the House of Representatives that drafted the Special Purpose Vehicle Act of 2002 (passed into law as Republic Act 9182), The Securitization Law (passed into law as Republic Act 9267) and the Corporate Rehabilitation and Insolvency Act.
Atty. Gonzalez sat as a member of the hearing panels that oversaw the corporate rehabilitation proceedings of one of the Philippine’s largest retail conglomerate with a total restructuring of US$ 222 Million as well as overseeing the restructuring of one of the country’s major sugar companies.
As a former reviewing attorney of the SEC’s Company Registration and Monitoring Department, he is very well-versed in mergers and acquisitions, foreign direct investments, exempt securities transactions, corporate restructuring, joint venture contracts and incorporation.
In his first few months in the private sector, Atty. Gonzalez advised a successfully approved US$ 18 Million notes issuance in insolvency using a Section 9 Exempt Securities provision of the Securities Regulation Code.
The year 2008 saw Atty. Gonzalez as Philippine counsel to a Singapore Exchange (SGX) listed company’s affiliate in its successful bid and acquisition of petroleum tank farm assets and seaport assets in the province of Batangas, south of Luzon island. His current projects center on Asset Management Companies and Special Purpose Vehicles.
Fields of specialization: corporate rehabilitation, insolvency, asset securitization/structured finance, securities litigation, corporate finance and foreign investments.
Graduate of De La Salle University with a Bachelors Degree in Philosophy and Management of Financial Institutions and studied in law in Ateneo de Manila University School of Law and Duke University School of Law in Durham, North Carolina.

ATTY. LEO S. ROMERO

Mr. Romero joined the firm as its main litigation partner.
His litigation experience encompasses the various courts including the Ombudsman and the Sandiganbayan (the Philippine Criminal Courts for high ranking officials) with an impressive success rate.
Mr. Romero likewise is very experienced in contracts and special projects (including government contracts, bidding procedures, Built-Operate-Transfer projects and unsolicited proposals) having been part of two major infrastructure projects of national importance.
Other areas of practice: General Commercial Law, Copyrights, Trademarks and Patents (with emphasis on Licensing Agreements and Infringement/Enforcement, Real Estate Transactions, Labor Law (employees’ claims and collective bargaining), Appellate Practice, Family Law (with emphasis on annulment of Marriage and settlement of property relations).
Graduate of De La Salle University with a Bachelors Degree in Biology and studied law in Ateneo de Manila University School of Law.
